An order is only deemed confirmed and accepted once we verify and process your full payment. All stated delivery times are estimated and non-binding. We are not liable for any shipping or delivery delays caused by third-party carriers, customs clearance procedures, or any events beyond our reasonable control. Once products are handed over to the shipping carrier, all ownership rights and risk of loss for the goods transfer to you.

Our store and Services are powered by Shopify, which provides the technical infrastructure for platform operation. All purchases and sales conducted on our store are transacted directly between you and zenviahome.
You acknowledge and agree that Shopify is not a party to the transaction between you and zenviahome, and shall not be held responsible for any product-related issues, damages, losses or liabilities arising from your purchases with us. You fully release Shopify and its affiliates from all claims, liabilities and damages related to your use of our Services and transactions with zenviahome.

This section applies to all automated or semi-automated software, tools and services (“Agents”) that operate on your behalf to access or interact with our Services without direct manual supervision.

All Agents must: (i) clearly identify themselves in all HTTP/HTTPS requests via a user agent string formatted as “Agent/[agent name]”; (ii) not conceal or disguise automated access by mimicking human behavior or bypassing CAPTCHA and human verification measures; (iii) truthfully respond to all human/computer verification prompts; (iv) not circumvent any platform controls designed to restrict automated access.

Section 15 – Termination

We may terminate this agreement or suspend your access to all or part of our Services at any time, without prior notice, at our sole discretion. You shall remain liable for all outstanding fees and obligations incurred prior to termination.
All provisions related to Intellectual Property, User Feedback, Termination, Warranty Disclaimers, Liability Limitations, Indemnification, Severability, Entire Agreement, Assignment, Governing Law and Privacy Policy shall survive the termination of this agreement.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ZENVIAHOME, ITS PARTNERS, DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, CONTRACTORS AND LICENSORS, AS WELL AS SHOPIFY AND ITS AFFILIATES, SHALL NOT BE LIABLE FOR ANY PERSONAL INJURY, LOSS, CLAIM, OR ANY DIRECT, INDIRECT, INCIDENTAL, PUNITIVE, SPECIAL OR CONSEQUENTIAL DAMAGES (INCLUDING LOST PROFITS, LOST REVENUE, LOST SAVINGS, DATA LOSS AND REPLACEMENT COSTS) ARISING FROM YOUR USE OF THE SERVICES OR PURCHASED PRODUCTS, WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY OR OTHER LEGAL THEORIES. THIS LIMITATION APPLIES EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

You agree to indemnify, defend and hold harmless zenviahome, Shopify, their affiliates, partners, officers, directors, employees, agents, contractors and service providers from all third-party losses, damages, liabilities, claims and reasonable attorney fees arising from: (1) your breach of these Terms of Service; (2) your violation of applicable laws or third-party rights; (3) your access to and use of our Services.
We will notify you promptly of any indemnifiable claim. Failure of timely notification shall not relieve you of your indemnification obligations unless you suffer material prejudice. We may assume exclusive control over claim defense and settlement at your cost, including legal counsel selection, and will not settle claims requiring your non-monetary obligations without your reasonable consent. You shall fully cooperate with the defense of all indemnified claims and provide relevant supporting documents.

These Terms of Service, together with all referenced policies and platform operating rules, constitute the entire binding agreement between you and zenviahome, superseding all prior oral or written agreements, communications and understandings relating to your use of the Services.
No ambiguity in the interpretation of these Terms shall be construed against the drafting party.

Section 21 – Assignment

You may not transfer, delegate or assign this agreement or any of your rights and obligations under these Terms without our prior written consent. Any unauthorized attempted assignment shall be null and void. We reserve the right to assign or transfer this agreement and our corresponding rights and obligations without prior notice or consent from you.

Section 22 – Governing Law

These Terms of Service and all related service agreements shall be governed and construed in accordance with the laws of the jurisdiction where zenviahome’s headquarters are located, including applicable federal and state laws. You consent to the exclusive personal jurisdiction and venue of the courts in such jurisdiction.
